IMPORTANT - This LMP Calculator Click-Wrap License ("Agreement") is a contract between PA Knowledge Limited ("PA", sometimes referred to as "we", "us" or "our" in this Agreement) and the legal entity or person ("Licensee", sometimes referred to as "you" or "your" in this Agreement) accessing the LMP Calculator, Tutorial, and Quick User Guide (referred to collectively as "LMP Calculator") offered at this site. PA and Licensee are collectively referred to as the "parties" or individually as a "party". Terms and conditions 1. We hereby grant you a revocable, nontransferable right to use the LMP Calculator for internal tutorial purposes only. You may not use the LMP Calculator except as authorized in this Agreement. You may not make derivative works from the LMP Calculator. You may not resell, lease, sublicense or otherwise transfer the LMP Calculator to any third party. We reserve all rights not expressly granted to you. 2. If you do not abide by the terms and conditions of this Agreement, this license grant is automatically revoked. 3. YOU ACKNOWLEDGE THAT THE LMP CALCULATOR USES MS EXCEL SOLVER, WHICH IS KNOWN TO BE INACCURATE AT TIMES, AND THAT THE RESULTS GIVEN BY THE LMP CALCULATOR ARE SUBJECT TO THE INHERENT INACCURACIES OF SOLVER. WE ARE PROVIDING THE LMP CALCULATOR AS-IS, AND YOU ACCEPT THE RISK AS TO ITS SATISFACTORY QUALITY, PERFORMANCE, AND USE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OR CONDITIONS, INCLUDING THE IMPLIED WARRANTIES OF TITLE AND NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND COMPATIBILITY. 4. You agree not to disassemble, decompile, or reverse-engineer the LMP Calculator. 5. We may terminate this Agreement by notifying you that we wish to do so. Upon termination of this Agreement, you agree to destroy all copies of the LMP Calculator. 6. All copies and derivatives of the LMP Calculator are, and at all times remain, the sole and exclusive property of PA, including all copyrights and other intellectual property rights contained therein or related thereto. You agree that neither you nor any third party obtain any express or implied rights in or to any part of the LMP Calculator. 7. With respect to claims arising from this Agreement, you agree that PA will not be liable to you, or to any third party, for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use. In any event, PA's liability is limited in the aggregate to your direct damages, not to exceed five hundred dollars. 8. You agree to indemnify and hold us harmless from any third party claims and liabilities arising from your violation of this Agreement.
