PA Energy Utility Map Click-Wrap License
IMPORTANT - This PA Energy Utility Map Click-Wrap License ("Agreement") is a contract between PA Knowledge Limited ("PA", sometimes referred to as "we", "us" or "our" in this Agreement) and the legal entity or person ("Licensee", sometimes referred to as "you" or "your" in this Agreement) accessing the PA Maps (referred to collectively as "PA Maps") offered at this site. PA and Licensee are collectively referred to as the "parties" or individually as a "party".
1. We hereby grant you a revocable, nontransferable right to use the PA Maps as follows:
If you have downloaded the pdf and/or ppt file:
(i) You may make one hard copy of each as a stand alone document for your personal use in the normal course of your business.
(ii) You may embed the file(s) in documents that form part of a presentation or report, and make multiple copies (electronic or hard copy) of the presentation or report for use in the normal course of your business.
Notwithstanding, you may not use the PA Maps in any commercial proposals, brochures, advertisements, or for any other marketing or media purposes without the express written consent of PA. For further information please contact the U.S. Marketing Department at PA Consulting Group, Inc.
2. You may not otherwise make multiple copies of the PA Maps as stand alone documents from the pdf file, ppt file, or from hard copies, nor make any derivative works from them. However, PA will provide multiple copies upon request. For multiple copies please tick the appropriate box on the PA Maps Order Form.
3. We reserve all rights not expressly granted to you. If you do not abide by the terms and conditions of this Agreement, this license grant is automatically revoked.
4. Each copy of the PA Maps must include all PA proprietary legends, disclaimers, and copyright.
5. You may not resell, lease, sublicense or otherwise transfer this license or the PA Maps to any third party.
6. We may terminate this Agreement by notifying you that we wish to do so. Upon termination of this Agreement, you agree to destroy all copies of the PA Maps.
7. All copies of the PA Maps are, and at all times remain, the sole and exclusive property of PA, including all copyrights and other intellectual property rights contained therein or related thereto. You agree that neither you nor any third party obtain any express or implied rights in or to any part of the PA Maps.
8. With respect to claims arising from this Agreement, you agree that PA will not be liable to you, or to any third party, for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use. In any event, PA's liability is limited in the aggregate to your direct damages, not to exceed one hundred dollars.
9. You agree to indemnify and hold us harmless from any third party claims and liabilities arising from your violation of this Agreement.
